Supplier Terms

Public offer for universities and other partner institutions listing services on the DOCTRAVIA online store

Effective date: 10 August 2026. Operator: DOCTRAVIA FOR ECOMMERCE W.L.L., CR No. 194877-1, Kingdom of Bahrain.

1. Introduction and acceptance

1.1 These Supplier Terms (the “Terms”) are a public offer by DOCTRAVIA FOR ECOMMERCE W.L.L., a company with limited liability registered in the Kingdom of Bahrain, CR No. 194877-1, registered office at Bldg. 1418, Rd. 1030, Block 1010, Al Hamalah, Kingdom of Bahrain (“DOCTRAVIA”), whose registered activity is retail sale via the internet, addressed to universities, schools, clinics, travel operators and other organisations wishing to offer their services for sale through the DOCTRAVIA online store at doctravia.com (the “Platform”).

1.2 The organisation accepting these Terms (the “Supplier”) accepts them by clicking “Accept” in the Supplier Account during registration, or by first using the Supplier Account. Acceptance creates a binding agreement between DOCTRAVIA and the Supplier (the “Agreement”).

1.3 The parties expressly agree to contract electronically: click-acceptance and actions recorded in the Supplier Account have the same legal effect as a handwritten signature, and electronic records may be used as evidence.

1.4 The individual who accepts these Terms confirms that they are authorised to bind the Supplier and will provide evidence of authority on request.

2. Definitions

2.1 “Buyer”: a customer of DOCTRAVIA purchasing a Service Package under DOCTRAVIA’s Terms of Sale.

2.2 “Beneficiary”: the person named in an Order as the recipient of the Underlying Service (for example, a student).

2.3 “Listing”: the description of the Supplier’s services offered for sale on the Platform, created and maintained through the Supplier Account.

2.4 “Order”: a confirmed purchase by a Buyer of a Service Package relating to the Supplier’s services.

2.5 “Order Link”: a link to a DOCTRAVIA checkout page generated in the Supplier Account for a specific service and, where relevant, a specific Beneficiary.

2.6 “Underlying Service”: the educational, travel, medical or other service described in a Listing and delivered by the Supplier.

2.7 “Retail Price”: the price payable by the Buyer to DOCTRAVIA for a Service Package.

2.8 “Supplier Price”: the amount payable by DOCTRAVIA to the Supplier for a delivered Underlying Service, determined under Annex C.

2.9 “Delivery Confirmation”: the event defined in clause 6.2.

3. Sales model

3.1 The Supplier authorises DOCTRAVIA to offer and sell, in DOCTRAVIA’s own name and for DOCTRAVIA’s own account, the right to receive the Supplier’s services described in the Listings. Towards every Buyer, DOCTRAVIA acts as the seller of record.

3.2 Upon each Order, a supply relationship arises between the Supplier and DOCTRAVIA: the Supplier undertakes to deliver the Underlying Service to the Beneficiary named in the Order, and DOCTRAVIA undertakes to pay the Supplier Price under clause 6.

3.3 Nothing in the Agreement makes DOCTRAVIA a payment service provider, a payment agent or a holder of funds for the Supplier. Amounts received from Buyers are DOCTRAVIA’s own sales revenue. DOCTRAVIA’s payment obligation to the Supplier is an ordinary trade payable for services supplied, and the Supplier has no claim to specific funds received from Buyers.

3.4 The Supplier remains fully responsible for the content, quality and delivery of the Underlying Services and for holding all permissions required to provide them (state accreditation, educational, medical, travel or other licences).

4. Supplier Account, Listings and Order Links

4.1 DOCTRAVIA opens the Supplier Account after completion of the onboarding checks described in clause 9.

4.2 The Supplier creates and maintains Listings and may generate Order Links for individual Beneficiaries. An Order Link opens a DOCTRAVIA checkout page; the sale to the Buyer is made by DOCTRAVIA under its Terms of Sale.

4.3 The Supplier warrants that every Listing is accurate, lawful and consistent with the Supplier’s own published terms, including tuition amounts and the withdrawal and refund scale applicable to the service.

4.4 Invoices and receipts to Buyers are issued by DOCTRAVIA. The Supplier must not collect payment from Buyers or Beneficiaries for Orders placed on the Platform.

5. Prices and DOCTRAVIA margin

5.1 Retail Prices are formed as stated in Annex C: either as the Supplier Price increased by DOCTRAVIA’s margin, or as a Retail Price agreed with the Supplier from which DOCTRAVIA retains its margin.

5.2 Each party bears its own taxes. Whether prices are inclusive or exclusive of applicable taxes is stated in Annex C.

6. Settlement with the Supplier

6.1 DOCTRAVIA pays the Supplier Price for each Order after Delivery Confirmation, within the settlement cycle stated in Annex C, against the Supplier’s invoice or, where agreed, a self-billing statement generated in the Supplier Account.

6.2 “Delivery Confirmation” means the Supplier’s confirmation, recorded in the Supplier Account or given in writing, that the Beneficiary has been enrolled or the booking has been accepted, or another event stated in Annex C.

6.3 DOCTRAVIA may deduct from amounts payable to the Supplier: (a) refunds paid to Buyers for reasons attributable to the Supplier under clause 7.2; (b) chargeback amounts attributable to the Supplier under clause 7.2; and (c) fees agreed in Annex C. Annex C may provide that a part of the Supplier Price is payable on a deferred basis to cover expected refunds within the period stated there.

6.4 Settlements are made by bank transfer to the account notified by the Supplier in the Supplier Account. The settlement currency and conversion rules are stated in Annex C.

7. Refunds, cancellations and chargebacks

7.1 Refunds to Buyers are processed by DOCTRAVIA under its Terms of Sale and the refund terms shown at checkout, which must reproduce the scale stated by the Supplier in the Listing.

7.2 The Supplier bears the cost of refunds and chargebacks caused by its non-delivery, its rejection of the Beneficiary, cancellation of the service, or inaccuracy of the Listing. DOCTRAVIA bears the cost of refunds caused by its own processing errors.

7.3 The Supplier will provide documents and information needed to respond to a payment dispute within [5] business days of DOCTRAVIA’s request.

8. Supplier warranties and obligations

8.1 The Supplier warrants that: (a) it is duly incorporated and validly existing; (b) it holds the accreditations and licences required to provide the Underlying Services; (c) the information provided during onboarding is true and will be kept up to date; (d) it will deliver the Underlying Services to Beneficiaries with due skill and care and in accordance with the Listing; and (e) it complies with the laws applicable to it, including data protection, export control and sanctions laws.

8.2 The Supplier will notify DOCTRAVIA without delay of any event affecting its ability to deliver the Underlying Services, including loss or suspension of a licence or accreditation.

9. Onboarding, compliance and sanctions

9.1 Onboarding includes verification of the Supplier’s registration, licences and accreditations, its governing officers and beneficial owners, and screening of these persons against the sanctions lists of the United Nations, the United States (OFAC), the European Union and the United Kingdom. The Supplier will provide the documents requested for these checks.

9.2 The Supplier represents that neither it nor its rector or chief executive, directors or beneficial owners are designated on those lists, and undertakes to notify DOCTRAVIA immediately of any change to this representation.

9.3 DOCTRAVIA may suspend Listings and settlements, or terminate the Agreement with immediate effect, if the Supplier or a related person becomes designated, if screening cannot be completed, or if continued performance would, in DOCTRAVIA’s reasonable assessment, expose DOCTRAVIA or its payment partners to sanctions or other regulatory risk. Amounts due for Underlying Services already delivered are paid where and when the law allows.

9.4 The compliance provisions of this clause 9 prevail over any other provision of the Agreement.

10. Prohibited and restricted services

10.1 The Supplier must not offer through the Platform any service listed in Annex A. DOCTRAVIA may remove a Listing that breaches Annex A without prior notice.

11. Data protection

11.1 For the personal data of Buyers and Beneficiaries, the parties act as independent controllers, each for its own purposes: DOCTRAVIA for the sale and settlement, the Supplier for the delivery of the Underlying Service.

11.2 Each party complies with the data protection law applicable to it (for DOCTRAVIA, the Bahrain Personal Data Protection Law No. 30 of 2018) and with the data terms in Annex B.

12. Intellectual property and branding

12.1 The Supplier grants DOCTRAVIA a non-exclusive licence to use its name, logo and Listing materials to present and sell the Service Packages, including on co-branded pages of the Platform.

12.2 Checkout pages identify DOCTRAVIA as the seller. Co-branding is permitted; presentation that conceals DOCTRAVIA’s role as seller is not.

13. Confidentiality

13.1 Each party keeps confidential the non-public information of the other party received under the Agreement and uses it only to perform the Agreement. This obligation survives termination for [3] years.

14. Term, suspension and termination

14.1 The Agreement is concluded for an indefinite term. Either party may terminate it with [30] days’ written notice.

14.2 DOCTRAVIA may suspend the Supplier Account or terminate immediately for material breach, for the compliance reasons in clause 9.3, or if required by law or by its payment partners.

14.3 On termination: Listings are removed; Orders already confirmed are completed or refunded under the Terms of Sale; and the parties settle amounts due for Underlying Services already delivered.

15. Liability and indemnity

15.1 Each party’s total liability under the Agreement is limited to the amounts payable by DOCTRAVIA to the Supplier during the [12] months preceding the event giving rise to liability. The limit does not apply to liability that cannot be limited by law, to the Supplier’s indemnity in clause 15.2, or to breaches of clauses 9 and 11.

15.2 The Supplier indemnifies DOCTRAVIA against third-party claims (including claims of Buyers, Beneficiaries and authorities) arising from the Underlying Services, from the inaccuracy of a Listing, or from the Supplier’s breach of law.

16. Notices and electronic communications

16.1 Notices are given through the Supplier Account and by email to the addresses stated in it, and are deemed received on the next business day after sending.

17. Changes to these Terms

17.1 DOCTRAVIA may amend these Terms with [30] days’ notice given through the Supplier Account. Continued use of the Supplier Account after the effective date is acceptance of the amended Terms. If the Supplier objects, it may terminate under clause 14.1 before the effective date.

18. Governing law and disputes

18.1 The Agreement is governed by the laws of the Kingdom of Bahrain. Disputes are resolved by the competent courts of the Kingdom of Bahrain. [Option for individual agreements: arbitration seated in [seat] under [rules].]

18.2 These Terms are made in English. Translations are for convenience; the English version prevails.
